The following letter sent to business partners of Frontier Group Holdings, Inc. (“Frontier”) is being filed in connection with the proposed business combination of Spirit Airlines, Inc. (“Spirit”) and Frontier:

Today is a historic day for Team Frontier and marks the beginning of a new phase for Frontier. Frontier is combining with Spirit to create America’s most competitive ultra-low fare airline. This news is exciting for Team Frontier, our customers and the communities we serve.

Our combination with Spirit builds on the incredible progress we’ve made at Frontier over the past several years. Thanks to your hard work as our partners, we’ve been able to deliver the lowest fares to our consumers on the most fuel-efficient fleet in the industry. And despite the challenges of the last couple of years, we have continued to deliver Low Fares Done Right and grow Frontier. I am so proud of what our teams have accomplished together.

So, what does it mean to be America’s most competitive ultra-low fare airline? Simply put, we will change the industry for the benefit of the consumer, bringing more ultra-low fares to more travelers in more destinations across the United States, Latin America and the Caribbean. Together with Spirit, we will be able to:

 

   

Offer more than 1,000 daily flights to over 145 destinations in 19 countries, across our complementary networks.

 

   

Expand with more than 350 aircraft on order to deliver more ultra-low fares.

 

   

Increase access to ultra-low fares by adding new routes to underserved communities.

 

   

Provide even more reliable service, expand frequent flyer membership offerings and deliver $1 billion in annual consumer savings.

And in addition to being America’s most competitive ultra-low fare airline, Frontier and Spirit will be America’s Greenest Airline. Together we will provide nationwide access to sustainable and affordable air travel.

Until the combination is complete, which we expect to happen in the second half of 2022, Frontier and Spirit will continue to operate as separate, independent companies and it remains business as usual. The best way you can help is to continue to deliver Low Fares Done Right to our customers just as you do today.
