The following letter sent to employees of Frontier Group Holdings, Inc. (“Frontier”) is being filed in connection with the proposed business combination of Spirit Airlines, Inc. (“Spirit”) and Frontier:

Today is a historic day for Team Frontier and marks the beginning of a new phase for our company. We announced our intent to combine with Spirit to create America’s most competitive ultra-low fare airline. This exciting transaction is a WIN for Team Frontier, our consumers and the communities we serve.

Our combination with Spirit builds on the incredible progress we’ve made at Frontier over the past several years. Thanks to your hard work, we’ve built a company that delivers the lowest fares to our consumers and is the most fuel-efficient in the industry. And despite the challenges of the last couple of years, we have continued to deliver Low Fares Done Right and grow our airline. I am so proud of what our team has accomplished together.

So, what does it mean to be America’s most competitive ultra-low fare airline? Simply put, we will change the industry for the benefit of the consumer, bringing more ultra-low fares to more travelers in more destinations across the United States, Latin America and the Caribbean. Together with Spirit, we will be able to:

 

   

Offer more than 1,000 daily flights to over 145 destinations in 19 countries, across our complementary networks.

 

   

Expand with more than 350 aircraft on order to deliver more ultra-low fares.

 

   

Increase access to ultra-low fares by adding new routes to underserved communities.

 

   

Provide even more reliable service, expand frequent flyer membership offerings and deliver an expected $1 billion in annual consumer savings.

And in addition to being America’s most competitive ultra-low fare airline, Frontier and Spirit will be America’s Greenest Airline. Together we will provide nationwide access to sustainable and affordable air travel.

Expanded Opportunities for Team Members

As we embark on this new chapter, we are incredibly excited about what this combination means for Team Frontier.


As a bigger airline, we expect to provide better career opportunities and more stability for our team. In addition, by 2026 Frontier and Spirit expect to add 10,000 direct jobs and thousands of jobs through our business partners. Given the growth of the combined company, it is expected that all current team members will have an opportunity to be a part of the combined airline.

Importantly, we believe that this combination makes sense both strategically and given our similar cultures. We are confident we can deliver on the unique benefits of this combination.

Next Steps in Bringing Our Airlines Together

While there is a lot to be excited about, please keep in mind that today’s announcement is just the first step toward bringing our companies together. There are a number of approvals that are required and customary conditions that we have to complete over the coming months.

During this time, we will work closely with Spirit to determine how to integrate our complementary strengths. There are a lot of decisions that will need to be made as part of this process. Notably, the combined company’s management team, branding and headquarters will be determined by a committee led by William Franke, Chair of Frontier’s Board of Directors, prior to close.

Until the combination is complete, which we expect to happen in the second half of 2022, Frontier and Spirit will continue to operate as separate, independent companies and it remains business as usual.
